Non-Disclosure Agreement (NDA)

A legally binding contract that obligates parties to keep shared confidential information secret.

Definition

In security testing, an NDA protects the client's sensitive data, vulnerabilities and findings that testers will inevitably see. It is usually signed before scoping discussions begin. NDAs can be mutual or one-way and define what counts as confidential and for how long.

Example

Testers sign an NDA before receiving network diagrams and application source code for a white-box test.

Exam tip

NDA protects confidentiality; it does not grant permission to test. Authorization comes from a signed authorization letter or contract.
